Noelle Bakes Real Good — PURCHASE TERMS

Last Updated: September 23, 2026

Everything we bake is made to order in micro-batches. Because ingredients, production time, inventory, and delivery logistics are planned far in advance, these Purchase Terms set out important deadlines and rules on ordering. For special requests or to report issues with your order, email bakedgood@noellereyes.com, and we’ll see what we can do.

1. Who We Are & What These Terms Cover

About Us. “Noelle Bakes Real Good” (“NBRG,” “we,” “us,” or “our”) is a registered trade name and non-legal division of Noelle Reyes, Esq. PLLC, a New York professional limited liability company (“Company”). NBRG is the Company’s entrepreneurial venture and New York-based bakery. “Drops” are our limited bakery offerings, available for pre-order on a set schedule.

Scope. These Purchase Terms cover anything you order, purchase, or download through www.noellebakesrealgood.com (“Website”) or arrange with us directly, such as bakery orders, Recurring Orders, recipes, and other digital content and downloads, plus anything else we sell or offer (collectively, “Products”), as well as our communications, newsletters, and other features we make available through the Website or otherwise (collectively, “Services”), and any related disputes.

Policies & Acceptance. Our Privacy Policy, Website Disclaimer, and Terms of Use are part of these Purchase Terms by reference (together, our “Policies”). By placing an order or downloading or using a Product, you agree to these Purchase Terms. You must be at least 18, be able to enter a binding contract, and provide us with accurate information.

2. Drops & How to Order

TL;DR: Inventory is very limited. Submit by the Order Deadline and wait for our confirmation.

  • Drop Announcements. We’ll announce when the Pre-Order Window opens and what we’re offering this Drop. Join our waitlist to hear first.
  • Pre-Order Windows & Order Deadlines. Submit your order and payment before the Pre-Order Window closes at 11:59 p.m. ET on the Order Deadline. We don’t accept, hold, or fill late or unpaid orders.
  • Availability. We do our best to keep the Website up to date, but a listing doesn’t guarantee availability, and we can’t promise to fill every order the Website accepts. Products may sell out, be substituted, or be discontinued at any time without notice. We may cancel an order affected by a pricing, description, inventory, or other listing error.
  • Submission & Confirmation. Confirmed orders are final and can’t be canceled once submitted (for Recurring Orders, see Section 5). We don’t offer refunds, returns, exchanges, or credits unless we approve a damage report under Section 3 or the law requires otherwise. If we cancel or can’t fill your order, we’ll give you a refund or credit, at our option.
  • Changes. You can ask to add items or change quantities any time before the Order Deadline. Changes are subject to availability and our discretion, and take effect only once we confirm them in writing. You’ll pay any added cost when we confirm the change, and we may refund or credit any reduction.
  • No Resale. Products may not be resold, redistributed, or used commercially without our prior written consent, except where a Product’s license expressly permits it.

3. Delivery & Pickup Options

“Shipping Day” is the day your order goes out: when the courier is scheduled to deliver, when filled orders can be picked up, or approximately when mail orders are sent. Choices may vary depending on schedule, inventory, logistics, weather, and offerings for each Drop. Request changes to your delivery method, address, or details up to 48 hours before your designated Shipping Day and time, subject to availability.

a. Courier Delivery ($25 Flat Fee). A third-party courier is scheduled to deliver orders within New York City on Shipping Day, during the designated time. Provide your complete, accurate delivery address and any access details, such as your unit number, buzzer or gate code, contact information, and instructions on where to leave your order.

b. Shipping by Mail (Varies). We ship eligible Products within New York State only. You’ll see shipping fees at checkout or in your order confirmation.

c. Pickup (Free). Pick up your order at the designated location during your assigned pickup time. Bring your order confirmation and photo ID.

d. Other Arrangement. Contact us to arrange another option.

  • Fees & Timing. We don’t refund delivery or shipping fees unless we cancel your order, can’t fill it, or approve a damage report (see Section 2). Shipping and delivery times are estimates, not guarantees.
  • Missed Pickups & Rescheduling. If you miss your pickup window, aren’t available for delivery, or give us wrong information or an inaccessible location, you may forfeit your order with no refund or credit. We don’t hold Products after your pickup or delivery time. Rescheduling requests depend on availability and may cost extra.
  • Risk & Responsibility. You authorize the courier or carrier to leave your order at the delivery address. Once your order leaves our hands — whether we ship it, deliver it to an adult at your address, or leave it as instructed — it’s at your risk, and we’re not responsible for loss, theft, damage, spoilage, or heat- or weather-related problems. If your order arrives damaged, incomplete, or incorrect, email us photos and a description of the issue within 24 hours of receiving it for our review.
  • Couriers & Carriers. Independent third parties are subject to their own terms, and we’re not responsible for their delays, route changes, mishandling, failed deliveries, or anything else they do. Products they transport may not be temperature-controlled.
  • Events Beyond Our Control. We aren’t liable for delays or failures to fulfill orders caused by events beyond our reasonable control — including severe weather, utility outages, ingredient or supplier shortages, illness, transportation disruptions, government orders, or internet outages. If one affects your order, we’ll try to reschedule or substitute; if we can’t fill it, Section 2 applies.

4. Food Safety, Allergens & Storage

TL;DR: Our Products contain or may come into contact with common allergens, and we can’t guarantee they meet any dietary or certification standard. See our Website Disclaimer for more on allergens, nutrition, health claims, and related disclosures.

Allergens & Handling. Our Products are made in a registered New York State home-processor kitchen that handles common allergens on shared equipment and surfaces, including wheat, eggs, dairy, tree nuts, peanuts, soy, and sesame. We can’t guarantee that any Product is allergen-free or that it meets gluten-free, kosher, halal, or similar standards. Ingredients and nutrition information can change, and any estimated nutrition figures are not lab-verified. If you or anyone you serve has a food allergy, sensitivity, dietary restriction, or related medical concern, be cautious and consult a healthcare professional. If you share our Products, you’re responsible for passing along any allergen information. Any storage or best-by guidance we give is informational, not a guarantee. You use our Products and Services at your own risk, and you’re responsible for properly storing and handling your order after pickup or delivery.

5. Prices, Payment & Recurring Orders

Prices & Payment. You pay the price and any taxes or fees shown at checkout, or in the confirmation of a changed order, with a payment method you’re authorized to use. For Products marked with a minimum price, any amount you pay above the minimum is part of the purchase price, not a donation.

Free Offerings. Free Products and Services aren’t eligible for refunds or credits.

Recurring Orders. A “Recurring Order” is a standing arrangement to receive Products tied to our Drop schedule, subject to availability. Recurring Orders may renew and charge automatically until you cancel.

Signing Up. We’ll show you any item preferences, price, frequency, and billing options at checkout before you start a Recurring Order, along with how to cancel. By starting a Recurring Order, you authorize us to charge your payment method automatically for Drops until you cancel.

Skipping or Canceling. We’ll email you a reminder before upcoming Drops. You can skip or cancel your Recurring Order any time before that Drop’s Order Deadline — through your account, or by any method you can use to sign up. We’ll confirm your cancellation by email, and it takes effect with the next eligible Drop. After the Order Deadline, your order is final, charged, and non-refundable.

Changes. We may change Recurring Order pricing, options, or schedules for future billing cycles. For any material change, we’ll send you clear notice and cancellation instructions between 5 business days and 30 days before it takes effect. If you don’t cancel before then, you accept the change. If we pause or cancel your Recurring Order, Section 2 applies to any prepaid order we don’t fill.

Payment Failures. If a payment fails, we may retry, suspend, or cancel the Recurring Order. We’re not responsible for missed Drops or deliveries caused by a failed payment.

Processing. Payments are processed by third parties, such as Stripe, under their own terms and privacy policies. We don’t store your full card details.

Chargebacks. Please come to us first with any payment problem. If you file an improper chargeback, we may refuse future orders and recover what you owe us plus reasonable costs.

6. Product License

TL;DR: You can use Company Content and digital Products at home or inside your own business, but you don’t own them, and you can’t resell, republish, share, or repurpose them beyond what this license allows.

Ownership. Everything we, our licensors, or our contributors make available through our Website, Products, Services, and communications is collectively “Company Content.” The Company and its licensors and contributors keep all ownership rights in Company Content. All rights not expressly granted here are reserved. For full definitions, terms, and information on using Company Content or a Product beyond this license, see our Terms of Use or contact us.

Definitions. “Commercial use” means using Company Content or a Product, or anything you make from it, to earn money or serve customers, such as copying our label design for items you give customers or selling a digital Product you received for free. “Internal business use” means using Company Content or a Product only within your own business, such as following a compliance checklist or using a pricing guide to set your prices.

License Grant. Subject to our Policies, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to:

  • access and view Company Content for your personal or internal business use;
  • access, download, and use any digital Product you receive from us for personal or internal business use, without selling, sharing, or displaying it; and
  • use a digital Product commercially, but only if, and to the extent, the license provided with it expressly permits it (for example, selling baked goods made from a recipe, but not republishing or selling our recipe as your own). Any other commercial use needs our prior written permission.

Permitted Use Examples. Without expanding your license, you may:

  • print, save, or download Company Content for your own reference;
  • use our recipes, templates, guides, and other resources in your own household or for internal business use;
  • share a link to anything we’ve posted publicly; and
  • quote a short excerpt for commentary, criticism, or review, with visible credit to us.

Restrictions. You may not:

  • resell, republish, post, license, distribute, or share outside your household or business any Company Content or digital Product, in whole or substantial part, modified or not, except as allowed below for our public posts or in a written agreement with us;
  • copy Company Content beyond what your license allows, except as your device needs to access or display it;
  • claim Company Content as your own or create derivative works, adaptations, or close imitations of it, including reproducing our recipe instructions, commentary, headnotes, photographs, or writing as yours;
  • remove or alter copyright notices, credits, signatures, watermarks, proprietary notices, or other identifying marks;
  • use our name, marks, trade dress, image, voice, likeness, or brand identity in a way likely to suggest that we produced, endorsed, or approved something; or
  • do anything our Terms of Use prohibit, including scraping, text or data mining, using Company Content to train or develop artificial intelligence or machine-learning models, competing uses, and unlawful uses.

Revocation & Permissions. Access to Products isn’t guaranteed. We may change, suspend, revoke, or end this license or your access at any time, at our discretion. Any permission we grant is limited to the specific use we approve in writing, and we may condition it on attribution in the form we specify. Crediting us doesn’t by itself authorize any use of Company Content, but we don’t generally object to personal, non-commercial sharing of our publicly posted content, so long as you give visible credit and keep intact all notices, original marks, and identifying features. Delaying or choosing not to enforce our rights isn’t a waiver. This doesn’t affect any license granted in a separate written agreement signed by you and the Company.

7. Accounts & Access

These Purchase Terms apply whether or not you have an account associated with the Website. You don’t need one to browse the Website or view our publicly available content, but some features may require one. Keep your login details secure, and tell us promptly if you suspect unauthorized use of your account. You’re responsible for activity under your account. We may suspend, close, or limit your access to the Website or Services at any time without notice, including for suspected fraud, abuse, resale, or chargebacks. We may also refuse or cancel an order for any violation of our Policies.

8. Disclaimers, Liability Limits & Your Responsibility

TL;DR: Products and Services are provided “as is” and “as available,” results may vary, our liability is capped, and you defend and cover us if a claim arises from something you did.

Disclaimers & Liability Cap. To the fullest extent the law allows, our Website, Products, and Services come “as is” and “as available,” without warranties of any kind. Photos and descriptions of Products, offerings, and packaging are illustrative, and we don’t guarantee that anything we offer will meet your expectations or produce a particular result. We aren’t liable for indirect, consequential, special, punitive, or similar damages, or for what third parties like delivery carriers, payment processors, hosting providers, or suppliers do or fail to do. Our total liability for any claim won’t exceed the greater of what you paid for that order or $100. This cap and these disclaimers apply to free Products and Services too. See our Website Disclaimer for additional disclaimers.

Indemnification. You agree to defend, indemnify, and hold harmless the Company and its owners, members, managers, employees, agents, contractors, service providers, licensors, affiliates, successors, and assigns from claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees where permitted. This applies to anything arising from your breach of these Purchase Terms, your misuse or improper handling of our Products, your failure to disclose or communicate an allergy, or your violation of any law or third-party right. Nothing in this Section limits any warranty, consumer right, or liability that can’t legally be excluded or limited.

9. Resolving Disputes & Your Right to Opt Out

We’re always happy to consider special requests and work with you to find a fair resolution. If something goes wrong, please talk to us first. Send us a message describing the issue, and we both agree to try in good faith to work it out informally for 30 days. Any remaining dispute arising under these Purchase Terms will be resolved under Section 14 (Dispute Resolution) of our Terms of Use. You may opt out of arbitration and the class-action waiver within 30 days after these Purchase Terms first apply to you by following the opt-out procedures in that Section. Opting out doesn’t affect the rest of these Purchase Terms, and an opt-out you send may also apply to any of our other Policies that contain an arbitration or similar provision.

10. General

New York law governs these Purchase Terms, regardless of conflict-of-laws rules. For disputes not subject to arbitration, we both consent to exclusive jurisdiction and venue in the state and federal courts in New York County (Manhattan) or Kings County (Brooklyn). We may update these Purchase Terms from time to time; the version in effect when you place an order (or when a Recurring Order billing cycle begins) governs that Drop or billing cycle. If any provision of these Purchase Terms conflicts with our other Policies, the conflict will be resolved under the hierarchy in Section 2 of our Terms of Use. Headings, labels, and TL;DR summaries are for convenience only and don’t change the meaning of our Policies. Nothing in these Purchase Terms waives any legal right that can’t be waived.
