Noelle Bakes Real Good — TERMS OF USE

Last Updated: September 22, 2026

This document is copyrighted and proprietary. Republishing, redistributing, and repurposing are prohibited. We monitor access to this page and all content to enforce our rights.

1. Parties

“Noelle Bakes Real Good” (“NBRG,” “we,” “us,” or “our”) is a registered trade name and non-legal division of Noelle Reyes, Esq. PLLC, a New York professional limited liability company (“Company”). NBRG is the Company’s food and entrepreneurial business. Professional services and legal representation are offered exclusively by the Company’s separate law practice at www.noellereyes.com.

These Terms of Use (“Terms”) cover www.noellebakesrealgood.com, our newsletter and subscriptions hosted at noellebakesrealgood.beehiiv.com, and any other related digital property, platform, channel, or social media account we use to communicate about NBRG, even if that account is also used for other purposes (collectively, the “Website”), together with all NBRG content, newsletters, communications, information, materials, features, and functionality we make available through them (collectively, “Services”).

To the extent permitted by law, by accessing or using our Website or Services, you (“you”) accept these Terms. You must be at least 18 and able to enter a binding contract. The information you give us must be current and accurate, and you must use the Website, Services, and Products (as defined in Section 2) only for lawful purposes. If you’re acting on behalf of another legal entity, you must have authority to bind it to these Terms. For questions or comments about these Terms, contact us using the information in Section 18.

2. Scope

These Terms of Use govern your use of our Website, Products, and Services, including viewing our content, accessing our offerings, and the terms that apply to that access and use. Our Purchase Terms, Privacy Policy, and Website Disclaimer are incorporated into these Terms by reference (collectively, our “Policies”), which cover the following:

  • Purchase Terms — anything you order or buy from us, including food, digital downloads, and free offerings (collectively, “Products”), and all NBRG orders, including pricing, payment, fulfillment, pickup and delivery, cancellations, returns, refunds, credits, checkout, billing, renewal, Recurring Order terms, and product warranties — and related disputes.
  • Privacy Policy — how we collect, use, share, and protect personal information, including how it relates to your relationship with us and with third parties.
  • Website Disclaimer — the scope and limits of our Website, and NBRG Products, Services, and content, including food, allergen, nutrition, health, legal, testimonial, and results disclosures.

Where one of our Policies addresses a topic more specifically, that document controls. If a conflict remains, the following apply in this descending order of priority: (1) any current, applicable written agreement signed by you and the Company; (2) Purchase Terms; (3) Privacy Policy; (4) Website Disclaimer; and (5) Terms of Use.

Headings, links, examples, and TL;DR summaries are provided for reference and convenience only and don’t change the Policies.

3. Our Offerings

Through our Website, Products, and Services we may offer:

  • food Products, sold and delivered within New York State;
  • digital Products, such as downloadable recipes, templates, guides, and other resources;
  • newsletters, subscription content, articles, and commentary on entrepreneurship, small business matters, product development, recipe content, brand building, and industry news; and
  • photos, videos, audio, and other multimedia content.

Everything we offer is subject to availability, and we may add, change, suspend, or discontinue any part of the Website, Products, or Services at any time without notice.

4. Newsletter, Emails, and Communications

Our newsletter is hosted and delivered by the third-party platform Beehiiv. Beehiiv’s own terms and privacy policy govern sign-up, delivery, account access, and availability. We don’t own or control Beehiiv, aren’t responsible for its outages, changes, or decisions, and can’t guarantee delivery of any email, communication, or notification, which depends on third-party infrastructure, spam filters, and other variables. We may receive subscriber and engagement data from Beehiiv to run the newsletter, send communications, measure performance, and improve our offerings. Your relationship with us remains governed by these Terms and our Policies (see Section 2).

You can unsubscribe from marketing emails at any time using the link in our emails or by contacting us. Unsubscribing doesn’t stop us from sending transactional messages about an order or other necessary communications.

5. Accounts and Access

These Terms apply whether or not you have an account associated with the Website. You don’t need one to browse or view our publicly available content, though some features may require one.

If you create an account, keep your login information and password secure, and tell us promptly if you think someone used your account without permission. You’re responsible for activity under your account. We may suspend, close, or limit your access to the Website or the Services at any time and without notice, including for suspected fraud, abuse, or a violation of these Terms. You may stop using the Website and Services at any time, and may close an account where that option is available.

6. Acceptable Use

TL;DR: Use the Website and Services lawfully and only for permitted uses, don’t scrape or harvest anything from them, and don’t use our content for AI or machine learning.

You may not:

  • scrape, crawl, harvest, copy, or collect content or user information by automated means, including bots, spiders, scrapers, or crawlers;
  • use our Website, Services, or Company Content (defined in Section 7(a)) to train, fine-tune, or develop any AI model, system, or dataset, or to conduct text or data mining, whether commercial or not (see Section 10 of our Website Disclaimer);
  • bypass, disable, interfere with, or circumvent any security feature, access control, or authentication measure;
  • reverse engineer, decompile, disassemble, or otherwise try to derive the source code or underlying structure of any part of the Website or Services;
  • access the Website unlawfully, including by hacking, or interfere with the Website, Services, or related infrastructure;
  • use the Website or Services for any unlawful, fraudulent, deceptive, harassing, abusive, or harmful purpose;
  • impersonate the Company, NBRG, our personnel, or anyone else, or misrepresent your relationship with us;
  • use our Website, Services, or Company Content to create, support, or operate anything that substitutes for or competes with our offerings; or
  • authorize or help any third party to do any of the above.

We may use technical measures, including robots.txt directives, machine-readable signals, or cookies or similar technologies, to monitor, communicate, and enforce these restrictions.

7. Intellectual Property

TL;DR: You may view our Website, use our Products, and access our content and Services — but you don’t own any underlying material, and you can’t copy, repost, sell, imitate, repurpose, share, or use anything beyond the uses permitted under your license.

a. Our Content and Your License to Use It

All text, graphics, logos, images, audio, video, downloadable content, resources, recipes, and other works or materials we, our licensors, or our contributors make available through our Website (including our social media accounts, as defined in Section 1), Products, Services, and communications, are collectively “Company Content.” Company Content is owned by and proprietary to the Company or its licensors or contributors, and is protected by copyright and other intellectual property laws and treaties.

Your license to access and use Company Content, including any digital Product you buy, order, or download from us, is governed by the Purchase Terms. Our Purchase Terms set out the permitted uses for our Products, while this Section adds the rules that apply to the Website itself.

The NBRG names, logos, trade dress, style, and other marks are the Company’s, and you may not use them without our prior written permission. All rights not expressly granted are reserved. We expressly reserve all rights in Company Content and our Products with respect to artificial intelligence, machine learning, and other automated or algorithmic systems (collectively, “AI”). Without our prior written permission, you may not use Company Content or any Product for any purpose prohibited by Section 6, including to train, fine-tune, or develop any AI model, system, or dataset. This reservation and restriction apply whether the use is commercial or non-commercial, direct or indirect, and regardless of the method or means.

You may not generate or publish content that copies or closely imitates Company Content, or that uses our name, trade name, trade dress, marks, image, voice, likeness, persona, or brand identity in a way likely to suggest the content is ours or that we created, produced, endorsed, or approved it. This includes, for example, reproducing our recipe instructions and commentary, headnotes, or downloadable resources, or reposting our photographs or writing as your own.

We do not generally object to personal, non-commercial sharing of our publicly posted content, so long as you give visible credit and keep all copyright notices, credits, signatures, watermarks, proprietary notices, and other identifying marks intact. However, crediting us does not by itself authorize any use of Company Content. Any decision not to enforce this Section in a given instance is not a waiver. The Company may revoke any license granted under these Terms at any time and for any reason, and may fully enforce its intellectual property rights. This does not affect licenses granted under a separate written agreement signed by you and the Company. Message our Designated Contact to request permission to reproduce, republish, or use Company Content (see Section 18).

b. Digital Millennium Copyright Act (“DMCA”) Takedown Notices and Copyright Claims

The Company respects the intellectual property rights of others and expects users to do the same. If you believe content on the Website uses your copyrighted work without authorization, message our Designated Contact (see Section 18) with “DMCA Notice” in the subject line. Your notice or request must include:

  • a description of the copyrighted work you believe has been infringed;
  • a description of the material you believe is infringing, and enough information to locate it on the Website;
  • your name, mailing address, telephone number, and email address;
  • a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law;
  • a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on their behalf; and
  • your physical or electronic signature.

When we receive a valid notice or request, we may remove or disable access to the material without notice or liability, and we may notify the user who submitted the material. We may also limit access to the Website and Services, or terminate the accounts of repeat infringers.

If you believe your material was removed by mistake, message our Designated Contact (see Section 18) with “DMCA Counter-Notification” in the subject line, including:

  • a description of the material and where it appeared before it was removed or disabled;
  • your name, mailing address, telephone number, and email address;
  • a statement under penalty of perjury that you have a good faith belief the material was removed or disabled by mistake or misidentification;
  • a statement that you consent to the jurisdiction of the federal district court where you live — or, if you live outside the United States, any judicial district in which the Company may be found — and that you will accept service of process there; and
  • your physical or electronic signature.

If we receive a valid counter-notification or request, we may restore the material as the law allows, unless the original complaining party first tells us it has filed a court action to stop the activity.

8. Non-confidential Submissions and Communications; No Attorney-Client Relationship

Do not send or submit anything confidential or time-sensitive through the Website or to any of the Company’s non-legal channels, including communications to bakedgood@noellereyes.com. Any ideas, suggestions, feedback, comments, materials, or other communications you share with the Company’s non-legal channels shall not be treated as privileged, confidential, or proprietary. We may use any such submission or communication for any lawful purpose without restriction, payment, or credit to you, unless a separate written agreement says otherwise. Contacting NBRG does not make you a prospective client of the Company’s law practice and does not form an attorney-client or privileged relationship.

9. Third-Party Platforms, Links, and Content

The Website may contain third-party websites, platforms, services, and content, including comments and other material submitted by third parties; a link, reference, or inclusion isn’t necessarily an endorsement or recommendation. We don’t control and aren’t responsible for the availability, accuracy, security, quality, conduct, or legality of any third party, its content, or its functionality, and we’re not liable for any resulting damage or loss. Third parties have their own terms and privacy policies, and you are responsible for reviewing them before using an offering, sharing information, or making a purchase. Exercise caution in deciding what information you share and with whom.

10. Purchases, Payments, and Refunds

Ordering, pricing, payment, fees, pickup and delivery, cancellations, returns, refunds, credits, and Recurring Orders are all governed by our Purchase Terms. We don’t collect or store full card numbers or banking credentials. Checkout and payment processing are handled by third-party processors, such as Stripe, under their own terms and privacy policies. Completing a purchase may require you to accept a processor’s terms or create an account with it, and we’re not responsible for their conduct, security, or practices.

11. Disclaimers

TL;DR: We offer the Website, Services, and content without any warranties. For anything you order or buy from us, our Purchase Terms govern.

THE WEBSITE, ALL COMPANY CONTENT, AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ACCURACY. THE COMPANY DOES NOT WARRANT THAT THE WEBSITE, COMPANY CONTENT, OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR INFORMATION WILL BE COMPLETE, ACCURATE, RELIABLE, OR AVAILABLE.

WARRANTIES, DISCLAIMERS, RETURNS, REFUNDS, AND REMEDIES FOR ANYTHING YOU ORDER OR RECEIVE FROM US, INCLUDING FREE ITEMS, ARE GOVERNED BY OUR PURCHASE TERMS. NOTHING IN THESE TERMS LIMITS ANY WARRANTY OR RIGHT THAT CANNOT BE DISCLAIMED OR LIMITED UNDER APPLICABLE LAW, INCLUDING WITH RESPECT TO FOOD PRODUCTS.

12. Limitation of Liability

TL;DR: We’re not liable for indirect damages and our total liability is capped.

THE COMPANY DISCLAIMS LIABILITY FOR ANY LOSSES OR DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE WEBSITE, COMPANY CONTENT, OR SERVICES. YOUR USE IS AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE, COMPANY CONTENT, OR SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF USE, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR CLAIMS GOVERNED BY OUR PURCHASE TERMS, AND EXCEPT FOR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, THE COMPANY’S TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.

CLAIMS ARISING FROM OUR PURCHASE TERMS OR A SEPARATE WRITTEN AGREEMENT WITH THE COMPANY ARE SUBJECT TO THE RESPECTIVE LIABILITY CAPS OF THOSE POLICIES. NOTHING IN THESE TERMS LIMITS ANY LIABILITY, WARRANTY, OR CONSUMER RIGHT THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING FOR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR FRAUD.

13. Indemnification

TL;DR: You defend and cover us if a claim arises from something you did. We may run the defense at your expense, and you can’t settle on our behalf without our consent.

You agree to defend, indemnify, and hold harmless the Company and its owners, members, managers, employees, agents, contractors, service providers, licensors, affiliates, successors, and assigns from any third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees where permitted, arising from or related to:

  • your breach of these Terms or any separate agreement with us;
  • your access to, use of, inability to access or use, or misuse of the Website or Services;
  • your violation of applicable law or any third-party rights;
  • any information or communication you submit or transmit through the Website or Services; or
  • your use of third-party platforms, services, or content.

Your indemnity obligation is reduced only to the extent the Company is responsible for the claim. We will provide reasonable notice of any claim for indemnification; late notice reduces your obligations only if the delay actually harms your defense. The Company may control the defense and settlement at your expense, choose its own counsel, and you agree to cooperate reasonably in the defense. You may not settle any claim affecting the Company without our prior written consent. The liability cap in Section 12 does not limit your obligations under this Section. Indemnification relating to an order, purchase, or Product is governed by our Purchase Terms.

14. Dispute Resolution and Opt-Out Right

Subject to the disclaimers and limitations of liability in these Terms, disputes between you and the Company about the Website, Products, or Services will be resolved according to the procedures below.

  • Informal Resolution. Before starting any formal proceeding, talk to us first — message us with a description of the issue, and you and the Company agree to try in good faith to resolve it informally during the 30 days after that notice.
  • Alternative Dispute Methods. You or the Company may bring an eligible claim in small claims court, and either may ask a court for injunctive or equitable relief to protect intellectual property or stop unauthorized access. The parties may also agree to participate in mediation or another dispute resolution process, and otherwise any remaining claim still goes to arbitration.
  • Arbitration. Any remaining dispute, claim, or controversy arising from or related to these Terms, the Website, the Products, or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, or other comparable rules applicable to the dispute. Unless the parties agree otherwise, the arbitration will be heard by a single neutral arbitrator, conducted in English, and held remotely or in New York County (Manhattan) or Kings County (Brooklyn), New York. Where permitted, the prevailing party may recover from the non-prevailing party its reasonable costs and attorneys’ fees related to the arbitration. The arbitration award will be final and binding on the parties, and judgment on it may be entered in any court with proper jurisdiction. This does not apply to disputes that cannot be arbitrated under applicable law.
  • Individual Claims Only; Jury Waiver. All claims and disputes must be brought individually. Neither of us may bring or take part in a class, collective, consolidated, or representative action, and to the fullest extent the law allows, you and the Company each waive any right to a jury trial.
  • Opt-Out Right. Within 30 days after these Terms first apply to you, you may opt out of arbitration and the class-action waiver by messaging us with your name, email address, and a statement that you want to opt out, or by asking us for a mailing address to mail your notice. Opting out doesn’t affect the rest of these Terms, and an opt-out you send may apply to any of our other Policies that contain an arbitration provision.

15. Changes to These Terms

We may update these Terms from time to time, so we encourage you to review them periodically. For material changes we may give advance notice; otherwise, changes take effect when posted with a revised “Last Updated” date. To the extent permitted by law, your continued access to or use of the Website and Services after the changes take effect constitutes acceptance of the updated Terms.

16. General

  • Survival. Any provision that by its nature should continue will remain in effect, and any right or obligation that already accrued remains enforceable, after you stop using the Website or Services, your access is suspended or terminated, or these Terms end.
  • Governing Law; Venue. New York State law governs these Terms, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under Section 14, you and the Company consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County (Manhattan) or Kings County (Brooklyn), New York, and waive any objection to improper or inconvenient forum.
  • Severability. If any provision is found invalid or unenforceable, it will be modified or severed only as far as necessary, and only in that jurisdiction or as to that person, entity, or circumstance. The rest of these Terms remains in full force and effect.
  • No Waiver. Not enforcing a right or part of these Terms, or delaying enforcement, is not a waiver. Any waiver must be in writing, applies only to that instance, and doesn’t affect or prevent future enforcement.
  • Assignment. You may not assign these Terms or any other rights without the Company’s written consent. The Company may assign them in connection with a merger, acquisition, or sale of assets, or otherwise in its discretion.
  • Notices. We may post notices on the Website or send them to any email address associated with your account or subscription. Send notices to us using the contact information in Section 18.
  • Entire Agreement. These Terms, together with our Policies (Purchase Terms, Privacy Policy, and Website Disclaimer), are the entire agreement between you and the Company about the Website, Products, and Services, unless a separate written agreement expressly provides otherwise.

17. Accessibility

We want the Website to work for everyone. Tell us about any barrier you run into or any suggestion you have, and we’ll respond in accordance with our Accessibility Statement.

18. Contact Us
